CBS reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and in such case, you agree to cooperate with CBS ’ s defense of such claim.

If any provision of these policies is unenforceable, it shall be modified to provide CBS with the greatest protection possible. These policies are governed by the laws of California , and any dispute between us shall be brought in the state or federal courts located in Irvine, California . You consent to the exclusive jurisdiction and venue of those courts. You agree to pay all of our costs of enforcement, including reasonable attorney fees.
